The Corporate Records Paralegal/Supervisor oversees the Corporate Records Department, supervises the team, and handles substantial and complex matters.

You will be responsible for:

  • Complex incorporations;
  • Preparation of documents with respect to capital alterations and changes in capital structure;
  • Drafting special rights and restrictions, complex resolutions, capital alterations, restorations, continuations, voluntary dissolutions of BC and Federal corporations, and amalgamations;
  • Preparation of Section 85 and Section 86 tax rollovers,; rollover of old 1973 Act; and
  • Other duties as required.

For supervisory and administrative duties, you will be in charge of:

  • Coordinating work among the team;
  • Improve efficiency of the department;
  • Identifying the areas of improvement required in corporate records procedures and recommend solutions;
  • Functioning as a go-between for the lawyers and the department;
  • Updating and maintaining ALF templates/precedents;
  • Aiding/instructing the junior corporate records personnel with complex transactions;
  • Overseeing the work of the junior corporate records personnel to insure that all work is properly handled; and
  • Co-ordinating with other departments when required.
