Transaction Paralegal

We are assisting our client a downtown business law boutique firm recruit a senior level Transaction Paralegal.  The successful candidate will carry out all tasks in connection with assisting the lawyers in connection with various transactions.

Key responsibilities include, but not limited to:

  • Conduct and report on corporate searches, LTO searches and due diligence searches.
  • Draft corporate resolutions and other documents in connection with incorporations (BC and Federal), organizations, dissolutions, amalgamation, reorganizations, transactions, capital alterations, etc.
  • Input corporate information into ALF and prepare documents using ALF.
  • Review, audit and update of records and preparation of rectification resolutions.
  • Establishing family trusts.
  • Assist lawyers with transactional work.
  • Prepare reporting letters and closing binders.
  • Commercial lending and PPR registrations.
  • Ability to deal with client inquiries and handle day-to-day corporate matters independently.

 Key qualifications include:

  • A minimum of 8 years of experience in a law firm or office environment is required.
  • Has knowledge of MS Word and Outlook.
  • Proficiency with ALF.
  • Experience with limited partnerships is desirable.
  • Ability to work with minimal supervision and prioritize and manage multiple assignments.
  • Excellent organizational skills.
  • Excellent inter-personal skills and ability to work well in a dynamic team setting.
  • Paralegal certificate or equivalent from accredited institution.
